These Coach Terms are a legal agreement between you, the coach or coach applicant ("you", "Coach"), and Trainerax Private Limited ("Trainerax", "we", "us"). They govern your use of the Trainerax Coach app, the coach dashboard and related services (the "Coach Service"). By applying as a coach or using the Coach Service you agree to these Terms and the Coach Privacy Policy, including the consent in section 5. Last updated: 9 October 2026.

1. Eligibility and verification

• You must be at least 18 and legally able to provide fitness coaching services in India.
• Trainerax reviews every application. Until you are approved your account stays pending and you cannot access clients.
• Everything in your application (identity, certifications, experience) must be true and current; tell us promptly if a certification lapses or a detail changes.
• We may approve, reject or revoke coach status, including if verification fails.

2. Relationship

• You are an independent professional, not an employee, agent or partner of Trainerax, unless you have a separate written agreement as an in-house Trainerax coach. You are responsible for your own taxes, registrations (including GST where applicable) and insurance.
• You decide how you coach within these Terms; Trainerax provides the platform and tools.

3. Your coaching responsibilities

• Coach within your qualifications. Do not diagnose medical conditions, prescribe medicines or give advice reserved for doctors, physiotherapists or registered dietitians unless you are licensed to.
• Review each client's onboarding answers, injuries and health conditions, and refer them to a medical professional when appropriate.
• Respond promptly to escalations (pain, injury, medical). Never encourage a client to train through pain or injury.
• Do not recommend steroids, banned substances, extreme diets or unsafe practices.
• Be respectful and professional: no harassment, discrimination, sexual or romantic advances, or inappropriate content toward clients.
• Keep scheduled calls, or reschedule in the app with reasonable notice.

4. Drafting tools, review and Autopilot

• The Coach Service drafts plans, plan changes, replies, call briefs and notes for you, and can answer low-risk client questions in your name when you allow it.
• You are responsible for what is sent in your name, including drafts you approve, edit, leave to be approved under your rules, or allow through Autopilot. Review drafts before approving them.
• When Autopilot is on, it acts within the scope and limits you set. Choose them carefully; you can undo actions and should review the summary when you return.
• Automated drafts can be wrong. Do not rely on them for medical or safety decisions.

5. Client data: confidentiality and protection (your consent)

You will see clients' personal and health data (measurements, photos, health-app data, injuries, conditions, messages). You agree to:

• Use client data only to coach that client through Trainerax, and only while they are your client.
• Never sell, share, publish or post client data or photos (including "before and after" posts) without the client's explicit consent recorded in Trainerax.
• Not copy or export client data outside the platform except as needed for coaching, and delete it when no longer needed.
• Keep your phone and account secure (screen lock, no shared logins) and tell us immediately at teamtrainerax@gmail.com if you suspect unauthorised access.
• Not record calls without the client's clear consent.
• Follow the DPDP Act and the client Privacy Policy. Trainerax is the Data Fiduciary for client data; you process it only as these Terms allow.

You also consent to Trainerax processing your personal data as described in the Coach Privacy Policy, including sending the data needed for each task to our AI providers. These duties continue after your account or a client relationship ends.

6. Your content

• You keep ownership of the plans, templates, custom exercises and foods, demo videos, notes, messages and profile material you create.
• You give Trainerax a non-exclusive, worldwide, royalty-free licence to host, store, display, adapt and deliver that content to your clients and to run the Coach Service.
• Plans and notes delivered to a client stay available to that client after you leave, so their history is complete.
• You must own or have the rights to everything you upload, including music in demo videos.

7. Fees and payouts

• Clients pay Trainerax directly for plans and extra calls.
• What you are paid, and when, is set out in your coach agreement or payout terms shown in the app or sent to you by Trainerax.
• Trainerax may deduct taxes (such as TDS) and payment fees as the law requires, shown on your payout statement. Refunds issued to your clients may be deducted for the relevant period.
• Raise any payout dispute within 30 days of the statement.

8. Ratings, reviews and quality

Clients may rate and review you. We monitor service quality (response times, escalation handling, complaints) and may pause new client matching, reassign clients or suspend your account if quality or safety standards are not met.

9. Non-circumvention

While you are a Trainerax coach and for 6 months after a client relationship ends, you will not solicit or accept clients you met through Trainerax for paid coaching outside the platform, unless Trainerax agrees in writing.

10. Acceptable use

Do not reverse-engineer, scrape or copy the apps or libraries; access clients not linked to you; bypass security or usage limits; create multiple coach accounts; or use the Coach Service for anything illegal.

11. Intellectual property

The Trainerax apps, dashboard, name, logo, software, exercise library and food database belong to Trainerax or its licensors. You get a personal, non-transferable, revocable licence to use them to coach your Trainerax clients.

12. Suspension and termination

• You can close your coach account at any time from Profile → Delete account, after giving at least 14 days' notice in the app so your active clients can be reassigned.
• We may suspend or terminate your account immediately for safety risks, misuse of client data, harassment, fraud, false credentials or serious breach of these Terms, and with 14 days' notice for any other reason.
• When your account ends, your access to clients ends. Sections 5, 6, 9, 13, 14, 15 and 16 continue.

13. Disclaimers

The Coach Service is provided "as is" and "as available". We do not guarantee any number of clients, earnings, uninterrupted availability or the accuracy of automated drafts.

14. Limitation of liability

To the extent the law allows, Trainerax is not liable for indirect or consequential losses, lost earnings or loss of data, and our total liability to you is limited to the payouts paid to you in the 3 months before the claim.

15. Indemnity

You will compensate Trainerax for claims, losses and penalties arising from your coaching advice, your breach of these Terms, your misuse of client data or your content.

16. Governing law and disputes

These Terms are governed by the laws of India. We will first try to resolve a dispute informally for 30 days. Unresolved disputes go to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated in Bengaluru, in English; subject to this, the courts at Bengaluru have exclusive jurisdiction.

17. Changes

We may update these Terms and will tell you in the app or by email at least 14 days before significant changes take effect, and ask you to agree again.
